Welcome to “ NO TICKETS AT THE DOOR “ We are excited to have your participation in our Summer series of activations.
Liability Release Agreement
- I hereby assume all risks associated with my participation in the Event.
- I hereby release and forever discharge [No Tickets At The Door ], [Any location of event], and their respective directors, officers, employees, agents, and representatives (collectively, the "Releasees") from any and all claims, demands, liabilities, causes of action, damages, and expenses (including attorney's fees) of any kind or nature whatsoever arising out of or in any way connected with my participation in the Event, whether caused by the negligence or intentional acts of the Releasees or otherwise.
- I agree to indemnify and hold harmless the Releasees from any and all claims, demands, liabilities, causes of action, damages, and expenses (including attorney's fees) of any kind or nature whatsoever arising out of or in any way connected with my participation in the Event, whether caused by my own negligence or intentional acts or otherwise.
- I hereby authorize the Releasees to seek and obtain any necessary medical treatment for me in the event of an injury or illness during the Event. I agree to pay for all costs associated with such medical treatment.
- This Waiver and Release Agreement constitutes the entire agreement between me and the Releasees with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.
- If any provision of this Waiver and Release Agreement is held to be invalid or unenforceable, such provision shall be struck from this Waiver and Release Agreement and the remaining provisions shall remain in full force and effect.
Photo Release
-I consent and authorize “ No Tickets At The Door “ to use my likeness in any photograph, videos and or all digital media (Any and all media) taken or to be taken at any “ No Tickets At The Door event or Affiliate event to be used in any and all of its publications, including but not limited to print or web-based publications.
-I irrevocably authorize any copy, edit, enhance, crop, or otherwise alter any Photo or Video for use of any publications. I also waive any rights for approval or inspection of any photos or videos.
-I understand and agree that all media obtained at all “ No Tickets At The Door “ events are the intellectual property of “ No Tickets At The Door “
- I acknowledge that I am not entitled to any compensation or royalties with respect to any use of photos or videos.
Nondisclosure:
(a) Any and all participants understands that, in connection with its engagement with “ No Tickets At The Door “, it may receive, produce, or otherwise be exposed to Company’s trade secrets, business, proprietary and/or technical information, including, without limitation, information concerning customer or distributor lists, customer or distributor support strategies, employees, research and development, financial information (including sales, costs, profits, and pricing methods), manufacturing, marketing, proprietary software, hardware, firmware, and related documentation, inventions (whether patentable or not), know-how, show-how, and other information considered to be confidential by Company, and all derivatives, improvements and enhancements to any of the above (including those derivatives, improvements and enhancements that were created or developed by all under this Agreement), in addition to all information Company receives from others under an obligation of confidentiality (individually and collectively “Confidential Information”).
(b) All participants acknowledges that all conversations are Confidential Information that is the Company’s sole, exclusive and extremely valuable property. Accordingly, all agree to segregate all Confidential Information from information of other companies and agrees not to reproduce any Confidential Information and not to use the Confidential Information except in the performance of this Agreement, and not to divulge all or any part of the Confidential Information in any form to any third party, either during or after the term of this Agreement, except to Company employees and all who need to know such Confidential Information in order to perform the Services. Freelancers and participants shall require such Freelancer Employees and participants to execute a non-disclosure agreement satisfactory to the Company before such Freelancer Employee or participants are exposed to any Confidential Information. Upon any separation all agrees to cease using and to return to Company all whole and partial copies and derivatives of the Confidential Information, whether in Freelancer’s possession or under Freelancer’s direct or indirect control, including any computer access nodes and/or codes, and to arrange for the return of such materials by all Freelancer Employees and any participants that are requested for such information.
(c) Freelancer and participants shall not disclose or otherwise make available to any Company in any manner any confidential and proprietary information received by Freelancer or participants from third parties. Freelancer and participants warrants that its performance of all the terms of this Agreement does not and will not breach any agreement entered into by Freelancer with any other party.
Indemnification / Release:
(a) Freelancer and participants agrees to take all necessary precautions to prevent injury to any persons or damage to property during any and all “ No Tickets At The Door “ events, and shall indemnify, defend and hold harmless Company, its officers, directors, shareholders, employees, representatives and/or agents from any claim, liability, loss, cost, damage, judgment, settlement or expense (including attorney’s fees) resulting from or arising in any way out of injury (including death) to any person or damage to property arising in any way out of any act, error, omission or negligence on the part of Freelancer or any Freelancer Employee or participant in the performance or failure to fulfill any Services or obligations under this Agreement.
5. Insurance and Other Requirements:
(a) Freelancer and participants warrants that it will obtain and keep in full force and effect at all times personal and general liability and errors and omissions or professional liability insurance covering all of its Services.
(b) Freelancer or participants shall provide to the Company copies of all policies required to be maintained, and a Certificate of Insurance indicating said coverage shall be provided to Company upon request. (c) Freelancer also warrants and represents that it has properly classified all of its workers, has and will maintain all required licenses and certifications.
This Agreement shall be effective on the date hereof and shall continue till end of said project but not limited to the participation of other future projects. All Nondisclosure agreements will forever stand even after and at any end of any and all “ No Tickets At The Door “ productions or the production. With any ticket purchase of the event or entry of any kind of the event of “ No Tickets At The Door “ you are in full understanding that you are in full agreement to all terms and conditions of this contract.
